1. Introduction

These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and DRAICONNECT LLC (“DRAICONNECT,” “we,” “us,” or “our”), a Delaware limited liability company, governing your access to and use of DRAICONNECT’s mobile application, website, payment systems, and related technology services (collectively, the “Platform”).

BY CREATING AN ACCOUNT, ACCESSING, OR USING THE PLATFORM, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • DRAICONNECT IS A TECHNOLOGY PLATFORM ONLY and does not provide, perform, manage, or supervise any services.
  • DRAICONNECT IS NOT A SERVICE PROVIDER, NOT AN EMPLOYER, NOT AN AGENT, AND NOT A CONTRACTOR of any User.
  • DRAICONNECT HAS NO LIABILITY OR RESPONSIBILITY for any acts, omissions, quality, safety, legality, or consequences of any services performed by any Service Provider or requested by any Service Requester.
  • ALL SERVICE AGREEMENTS ARE DIRECTLY BETWEEN USERS, and DRAICONNECT is not a party to any such agreement.
  • YOU ASSUME ALL RISK of using the Platform and of engaging with other Users.

If you do not agree to all of these Terms, you may not access or use the Platform.

3. Definitions

Term

Definition

Platform

The technology infrastructure, mobile application, website, messaging tools, payment processing system, and support services operated by DRAICONNECT.

Service Requester

A User who uses the Platform to seek, schedule, communicate, and pay for services from a Service Provider.

Service Provider

A User who uses the Platform to offer, list, advertise, perform, and receive payment for services.

Service Agreement

The direct, legally binding contract between a Service Requester and a Service Provider covering service scope, price, time, quality, and performance. DRAICONNECT is not a party to any Service Agreement.

Service Fee

The total monetary amount a Service Requester agrees to pay a Service Provider for services rendered.

Platform Fee

The separate fee charged by DRAICONNECT to Users for access to and use of the Platform, including payment processing, matching, and administrative tools.

User

Any individual or entity accessing the Platform, whether as a Service Requester or Service Provider.

4. Nature of the Platform – DRAICONNECT’s Role

4.1 Technology Platform Only

DRAICONNECT operates an online marketplace that uses technology to connect Service Requesters with Service Providers. DRAICONNECT does not own, operate, supply, manage, control, or provide any services. DRAICONNECT does not employ, recommend, endorse, or verify any Service Provider or Service Requester.

4.2 No Agency, Employment, or Partnership

Nothing in these Terms creates any employment, agency, joint venture, partnership, franchise, or similar relationship between DRAICONNECT and any User. Service Providers are independent contractors who:

  • Set their own Service Fees.
  • Determine their own work schedule, methods, and tools.
  • Accept or reject requests at their sole discretion.
  • Are free to provide services through other platforms or independently.

4.3 No Supervision or Control

DRAICONNECT does not supervise, direct, control, or monitor any Service Provider’s work. DRAICONNECT does not dictate the manner, method, or means of performing any service.

4.4 No Endorsement

DRAICONNECT does not endorse any Service Provider. Ratings and reviews are User-generated content only.

4.5 No Liability for Service Agreements

DRAICONNECT is not a party to any Service Agreement and has no liability for disputes, damages, payments, or service issues.

5. Eligibility and Account Registration

5.1 Eligibility

You must be at least 18 years old.

5.2 Account Registration

You must provide accurate information.

5.3 Account Security

You are responsible for your account activity.

5.4 One Account Per User

One account per person only.

5.5 Verification

We may verify identity and suspend accounts if needed.

6. Prohibited Conduct

You agree NOT to:

  • Engage in illegal activity
  • Harass or abuse users
  • Impersonate others
  • Hack or interfere with the platform
  • Circumvent platform fees
  • Post false or misleading content
  • Offer unlicensed services
  • Engage in unsafe conduct

Side Deal Violation:

Any off-platform transaction to avoid fees results in 150% liquidated damages + legal costs.

7. Financial Terms – Service Requesters

7.1 Pricing

Prices set by Service Providers.

7.2 Payment Authorization

You authorize full charges including fees and taxes.

7.3 Timing of Charge

Charged upon acceptance.

7.4 Platform Fee – Non-Refundable

Platform Fee is non-refundable under all circumstances.

7.5 No Liability for Disputes

All disputes are between users only.

7.6 Chargebacks

We may suspend accounts and recover costs.

8. Financial Terms – Service Providers

8.1 Independent Contractor

You are fully independent.

8.2 Payment Processing

Paid within 5–10 business days.

8.3 Platform Fee Deduction

Automatically deducted.

8.4 Payment Holds

May be held for disputes.

8.5 Taxes

You are solely responsible for taxes.

8.6 Licenses & Insurance

You must maintain all required coverage.

8.7 No Insurance by DRAICONNECT

We provide no insurance.

9. Cancellation and Refund Policy

9.1 Requester Cancellations

  • Free cancellation: 2+ hours before
  • Late cancellation: up to 50%
  • No-show: up to 100%

9.2 Provider Cancellations

May result in penalties or suspension.

9.3 Refunds

Only providers may issue refunds.

9.4 Platform Fee

Never refundable.

10. Release and Limitation of Liability

10.1 Release

You release DRAICONNECT from all claims.

10.2 No Liability for Users

We are not responsible for user actions.

10.3 Liability Cap

Maximum liability = $100 or last 6 months of fees.

10.4 No Consequential Damages

We are not liable for indirect damages.

10.5 Platform Unavailability

We are not responsible for downtime.

10.6 One-Year Limit

Claims must be filed within 1 year.

11. Indemnification

You agree to defend and hold harmless DRAICONNECT from all claims arising from:

  • Your use of the platform
  • Service agreements
  • Legal violations
  • Injuries or damages
  • Taxes or insurance issues

12. No Warranties – “AS IS”

Platform is provided “AS IS” with no warranties.

13. Insurance – Provider Responsibility

Providers must maintain:

  • $1M liability insurance minimum
  • Required professional insurance
  • Workers’ compensation if applicable

14. Intellectual Property

All platform content belongs to DRAICONNECT.

15. Termination

We may suspend or terminate accounts at any time.

16. Dispute Resolution – Arbitration

  • Binding arbitration required
  • No jury trials
  • No class actions
  • Delaware law applies

17. Governing Law

  • State of Delaware governs all terms.

18. General Provisions

Includes:

  • Entire agreement
  • Severability
  • No waiver
  • Assignment rules
  • Force majeure
  • Electronic communication consent
